The company up for auction, operating in the textile and clothing sector, specializes in treatment and finishing processes on prototypes and sample collections owned by client companies – Italian and foreign – that manufacture garments. The company was a leader in the industrial laundry and dyeing sector, relying on numerous customers acquired over the years and representing the most prestigious brands on the market, such as, by way of example: Dior, Hugo Boss, LiuJo, Jeckerson, etc., both in the domestic and international markets. The company’s strengths were identified in its high level of know-how in treatments and finishing on denim and casual apparel. 

The company offered for sale consists of:

1. real estate complex as described in the business lease agreement with signatures authenticated by deed before Notary Albino Farina of Grottammare on 7 February 2020, rep. no. 119607, file no. 22413. Specifically, it is an industrial complex located in Zone D, predominantly productive area, built in several periods. Within the industrial complex, in addition to the production block, there are areas used as offices, areas used as laboratories, and areas used as warehouses. The total surface area of the complex is summarized as follows:
• Warehouse 11,353 sqm
• Offices 2,230 sqm
• External yard 26,818.73 sqm
• Caretaker’s apartment 110.50 sqm
• Land 11,320 sqm
The industrial complex is recorded on map sheet 15 parcel 322 – sub. 1 – Parcel 7 – Sub. 1-2-3 – Included are the lands recorded on sheet 9 – parcels 146/381/382 – Sheet 15 parcels 56/156/225/335)

2. set of assets organized within the company and consisting of registered movable assets, as well as trademarks, plants and machinery, equipment, tools, inventory/warehouse, furnishings and office machines, in the condition of fact and law in which they are found, all as appraised by Dr. Andrea Di Cesare

3.  employment relationships with no. 37 employees and collaborators, with release assumption of the severance pay (TFR) and any unpaid and ancillary wages such as, by way of example and not limited to, accruals, holidays, unused leave in favor of the Procedure, by virtue of specific settlements with each worker pursuant to arts. 411 and 412 of the Italian Code of Civil Procedure

4. leasing agreements, insurance, etc. as per Annex G of the original business lease agreement

5. concessions as per Annex H of the original business lease agreement

The company is currently subject to a lease agreement expiring on 31/12/2026 at an annual rent of € 184,099.44 plus VAT.
Please note that if the company were transferred to third parties before the natural expiry of the agreement, by contractual arrangement the current tenant is required to vacate the property and return the business within 6 months (as the technical time needed to complete its production cycle) from notification of the equivalent notarial deed.

All receivables and all liabilities accrued by the Bankrupt company before the relevant bankruptcy declaration are expressly excluded from the perimeter of the company offered for sale, as well as all receivables and liabilities accrued up to the date of transfer of the company by notarial deed, except for what is provided below regarding the release assumption of the TFR and any unpaid and ancillary wages of the transferred workers.

BASE PRICE: € 3,565,126.04 plus statutory charges.
