NOTICE OF COLLECTION OF EXPRESSIONS OF INTEREST EX ART. 91 3° paragraph CCII
The undersigned, Dr. Antonio Cortese, in his capacity as Judicial Commissioner of the Preventive Concordat indicated in the heading,
ANNOUNCES
That in the plan related to the preventive concordat procedure with liquidation of the assets of F.A.I.B. S.p.A. (348/2024) opened on May 8, 2025, there is an irrevocable offer from a third party for the bulk purchase of the business assets (real estate, machinery, inventory) for € 3,000,000.00 (three million/00). In compliance with art. 91, co. 1-3 CCII, the offer is being publicized in order to collect expressions of interest that may come from other interested parties.It is specified for informational purposes that in the irrevocable offer submitted (and relating to all real estate, machinery, and inventory, to be acquired in a unitary and indivisible manner), the offeror has offered for the 3 properties a total sum of € 1,700,000, for the total machinery the sum of € 1,280,000, and for the inventory the sum of € 20,000, for a total of € 3,000,000 (three million) euros.
1. SUBJECT OF THE EXPRESSION OF INTEREST
The subject of the expression of interest is represented by the unitary and indivisible transfer of the business assets of F.A.I.B. S.p.A. While giving preference to irrevocable offers that relate to the entire business assets of F.A.I.B. S.p.A., it will still be possible to submit partial expressions of interest, for example for one or all 3 properties, or for the machinery as a whole, or for the only inventory, partial offers that will be evaluated at the indisputable judgment of the bodies of the procedure according to what is provided in point 6 of this invitation.The assets are composed as follows:
A) Real estate (in Bassano del Grappa - VI)
This is a complex made up of three distinct and separate buildings constructed in different periods, used for the production of steel molds for the creation of BIW (Body In White) parts intended for the automotive industry and located in Bassano del Grappa and registered in the Land Registry on sheet 5 and parcels 107, 1428, and no. 106, with a total area of 7,551 square meters, better described in the appraisal prepared by Arch. Marco Iacovissi, as the legal representative of the company Analytics Resolutions s.r.l., with operational headquarters in Rome, via Barberini no. 95, registered with the Order of Architects Planners Landscape Architects and Conservators of Rome at no. 23038, in the Register of Technical Consultants of the Civil Court of Rome at no. 1102, with evaluation date of 12.12.2024 which is attached as an integral and substantial part of this proposal under letter a), including the systems and equipment related and accessory to the appraisal prepared by Astebook srl, which is attached as an integral and substantial part of this proposal under letter b), to which appraisals and related attachments the proponent refers;
Specifically:
A1. Production warehouse, identified in the Land Registry of the Municipality of Vicenza in Fg. 5, Parcel 107, Sub. 1, Floor T/1 - Cat. D/1**, R.C. Euro 19,919.80, commercial area **sqm 3,923.90**, used for the production of molds and arranged over two levels. Ground floor: workshop, administrative offices, storage rooms, and changing rooms. First floor: technical offices, warehouses, services, and changing rooms.
A.2 Production warehouse, identified in the Land Registry of the Municipality of Vicenza in Fg. 5, Parcel 1428 – Floor S1/T/1 - Cat. D/1, R.C. Euro 5,128.28, commercial area sqm 1,094.74, used for cutting and quality control and arranged over two above-ground levels and one basement level, of prefabricated type in reinforced concrete. Ground floor: production workshop, restrooms, entrance area with direct access to the workshop and to the basement via external exit. First floor: restrooms, storage area, and archive.
A.3 Production complex, identified in the Land Registry of the Municipality of Vicenza in Fg. 5, Parcel 106, Sub. 12, Floor S1/T/1/2 - Cat. D/1, R.C. Euro 14,697.40, commercial area sqm 2,532.24, used for the assembly of components. The complex consists of: a main warehouse intended for laboratory; a building intended for storage, arranged over three above-ground floors and one basement level; an additional warehouse intended for laboratory.
B) Machinery and equipment
This includes systems, goods and equipment related to real estate, operating machines, ovens and their accessories, equipment, office furniture, electronic office machinery, means for internal transport, better listed and described in the appraisal and related attachments prepared by Astebook srl, which is attached as an integral and substantial part of this proposal under letter c), to which appraisals and related attachments the proponent refers in full;
C) Inventory
This includes the inventory existing as of the date of this proposal, indicated in the appraisal by Astebook srl.
INVITES
all potential interested parties in the purchase to submit a proposal containing an irrevocable purchase offer, using the attached offer form in compliance with the conditions of this notice.
In case of expressions of interest, the Delegated Judge will proceed to issue a specific tender notice pursuant to art. 94 paragraph 4° CCII, a tender that will take place approximately in July.

Interested parties will be able to proceed (by agreeing on the date with the C.G.), during the period subject to this procedure, to visit the real estate complex and the related goods and machinery present.
