OFFERS GATHERING - Company sale with building in Asciano (SI), Viale Toscana 33

Company engaged in the production and marketing of bathroom accessories and furnishings, accessories for billiards and coffee distributors consisting of:
• all the equipment necessary for the operation of the company, better described in the attached report
• the technical documents, technologies, drawings, models, samples, prototypes, projects, production instructions, related realizations - created or in the process of being created - and other know-how, used (i.e. susceptible of potential use) in the exercise of the Company, unless they belong to third parties
• the "Capannoli" and "Tusca" brands and goodwill, as best resulting from the appraisal extract attached
• employment relationships to which Capannoli S.r.l. took over, pursuant to art. 2112 of the civil code and following the union consultation procedures provided for by art. 47 of Law no. 428 of 1990;
• the agency relationships to which Capannoli S.r.l. it took over as a result of the Company lease agreement;
• all other contracts pending at the time of completion of the Transfer Agreement which will be the responsibility and responsibility of the Participant to verify by accessing the Data Room, except for those that are strictly personal in accordance with art. 2558 of the Italian Civil Code
• The takeover of the preceding contracts refers to those still pending at the time of the completion of the Transfer Contract. It will be the responsibility and responsibility of the Participant to verify the relevance by accessing the Data Room. Likewise, the Participant will at his own expense identify technical documents, technologies etc. which can be transferred.
• Industrial building in Asciano (SI), Viale Toscana 33, Arbia Industrial Area, registered in the Building Registry of the Municipality of Asciano on Sheet 28: Parcel 401 - Category D / 1. The property in question is located in the industrial area of ​​the hamlet of Arbia, in the Municipality of Asciano, in Viale Toscana 33, and is accessible via an automated gate for vehicles and pedestrian gate with electronic lock. The building is located within an exclusive courtyard with bituminous-based flooring. Having been the subject of various expansions over the years, it is characterized by different construction types. Inside the building it is possible to identify the various working areas, such as the offices, the warehouse / storage area, the commercial and exhibition area and the craft area dedicated to processing.

Currently the property is occupied by a third party, following a provisional award it can be legally released. Please note that in the last extension a roof with percentages of eternity was built. This coverage will be cleared. There are cadastral discrepancies.
