Transfer of business branch

NOTICE

Object of the sale:

The Business Branch "Hydraulic Power Units and Manifolds", concerning, inter alia, the (a) design and production of hydraulic power units; (b) design and production of filtration units; (c) design and assembly of hydraulic manifolds; (d) overhaul of hydraulic and filtration units; (e) sale of hydraulic components, exclusively owned by Oilsafe, consists of the following assets, rights, and legal relationships, in the condition existing at the Transfer Date:

i. tangible and intangible fixed assets and rights
ii. the Warehouse
iii. employment relationships
iv. contracts for the business activity entered into by Oilsafe
v. commercial data and information
vi. drawings, models, and all technical documentation related to the assets included in the Business Branch

"Original Offer" indicates the irrevocable offer currently made by the tenant for the purchase of the Business Branch for € 812,648.00, of which € 512,648.00 as Business Price and 300,000.00 as Warehouse Price existing at the date of signing the Lease Agreement

Improved Offers must be delivered, under penalty of exclusion, by the peremptory deadline of 12:00 PM on October 8, 2025 at the Expert's office. Offers received after the aforementioned deadline will not be considered.
The Improved Offer must be submitted in a closed and sealed envelope, with the Offeror's stamp and signature on the closing flaps, bearing on the outside, in addition to the name and surname or company name of the Offeror and the reference "CONFIDENTIAL", the wording Improved Offer for the purchase of the Business Branch Oilsafe S.r.l.

All acts and documentation related to the Business Branch will be made available to interested parties by the Expert upon express request made to the Expert's certified email address, subject to signing a confidentiality agreement according to the model that will be made available by the Expert.
