This business unit operates in the market as an Energy Service Company, specializing in the supply of heat and in assuming the role of Third Party Responsible for a consolidated portfolio of 24 condominium buildings located in the Trento area. The division stands out for high financial stability, characterized by regular, multi-year cash flows guaranteed by long-term contracts with a duration between 5 and 8 years. From a technical and operational standpoint, the unit ensures maximum efficiency thanks to thermal systems that have been fully upgraded and modernized, which are constantly monitored remotely through advanced remote-control systems. The management of the business unit is characterized by a lean internal organization that entails the transfer of only one resource.
The following are expressly excluded from the scope of the Business
  1. the receivables relating to the Business;
  2. the payables and third-party guarantees relating to the Business.
Thus, all receivables, payables, and guarantees arising for, or dependent on, any title or cause prior to the Transfer Date shall remain in favor of and charged to Gruber, even if not known as of that date.
