Business Transfer - Electronics Sector

The sale concerns the sole proprietorship currently fully leased to third parties. This lease will last until the transfer of the business to the successful bidder without the need for any notice and/or communication between the Parties.

The business engages in the manufacturing and assembly of measuring and regulation devices, household meters. The activity is carried out in Pernumia (PD), Via Arzerdimezzo n. 10, in a property owned by third parties leased with the first expiration of the contract on May 31, 2028.
The company does not own any instrumental assets, and for the conduct of the activity, machinery provided on loan by the sole client is used. The only assets owned are those indicated in the business lease contract, attached to this document.

The following are expressly excluded from the transfer of the business and are therefore not included in the subject of this sale:
(a) any third-party assets currently located at the Pernumia (PD) complex at Via Arzerdimezzo 10 other than those covered by the ongoing lease contract;
(b) the credits held by the bankruptcy procedure, including the deposit related to the lease of the rented property;
(c) debts and credits, in addition to liquidity, arising before the transfer of the business, even in derogation of the provisions of art. 2560 of the Civil Code. Regarding debts - in terms of severance pay and accrued leave - towards the employees who will be transferred to the purchaser, the provisions of art. 2112 of the Civil Code will apply: "In the case of a business transfer, the employment relationship continues with the purchaser and the worker retains all rights arising from it. The transferor and the transferee are jointly liable for all credits that the worker had at the time of the transfer." The remaining debt for severance pay towards the 3 employees currently remaining in the company accrued until the effective date of the business lease is equal to €17,193.01; the remaining debt for accrued leave, permits, and related contributions and tax charges, accrued until the effective date of the business lease is equal to €5,506.93.
