Capo dei Greci Taormina Coast - Resort Hotel & SPA - COMPANY SALE

The company includes the ownership of the prestigious hotel complex in Sant'Alessio Siculo on the Taormina coast, the furnishings, capital goods and goodwill.
 
The Capo dei Greci Resort is built in the splendid mountain setting of Capo Sant'Alessio, where the architecture of the structure follows and is enveloped by the natural slope until it extends into the warm waters of the Mediterranean.
The structure is spread over a total area of 42,700 square meters built on steps that house the various buildings and uncovered areas of the hotel complex, such as bedrooms, a conference room, two restaurants, an amphitheater, two bars, two tennis courts, a spa area (wellness center) and large open areas.
The rooms are spread over four buildings and, in the current configuration, amount to 196 units, with various types including Classic, Superior, Deluxe and Junior Suite.
Half of the rooms have a beautiful sea view on the Riviera. It is possible to reorganize the units by reducing their number, so that all have a sea view.
 
The congress center has a maximum capacity of around 550 people and can host up to three different events at the same time.
 
The amphitheater is located in such a position as to have the enchanting Castle of Sant'Alessio and the bay of Taormina as a backdrop.
 
Two lifts carved into the rock connect the tourist complex to a state-owned area on which, subject to the granting of the concession, a removable platform can be installed close to the cliff.
In recent years, platforms with a variable surface area up to 1,700 square meters have been built, set up as a solarium with deck chairs, sunbeds and umbrellas, an independent kitchen and a bar.
 
The main part of the structure develops above the State Road 114, which includes several buildings and uncovered areas and exactly:
- four buildings, registered in parcels 494, 440, 496, 515, 441;
- two restaurants, registered under parcels 531 ("Il Dattero") and 728 ("Il Rosmarino");
- an amphitheater, registered in parcel 725;
- a congress center with adjacent coffee break on the first floor. A wellness center with swimming pool on the second floor, registered under parcels 583,748,749;
- two large swimming pools with services, open spaces and service rooms, one of which is represented by parcels 710, 711, 713, 714, 719 and the other by parcels 728, 507, 509, 736, 723, 727, 744, 729;
- two bars, one called "La dolce vita" inside the swimming pool of the same name, and the other "La Piazzetta", inside the building represented by parcels 716, 535 and 536 which also includes offices, the reception and a large terrace communicating with the bar, as well as ancillary services;
- two sports fields (for tennis and five-a-side football), a fitness area, two multifunctional areas, as well as large open spaces, some for parking, some for the guests of the facility, and others for greenery or internal roads;
- Below the public road there is a safety staircase which leads to the site where, subject to the granting of state concession, a platform at sea can be installed. The site can also be reached by means of two lifts and a tunnel about one hundred meters long.
 
The hotel structure is registered, in the Real Estate Registry of the Municipality of Sant'Alessio, in the company of the company "Albazzurra Hotel & Resort s.r.l.", sheet 8, seamed parcels: 440 sub 23, 441 sub 22, 494 sub 48, 496 sub 47, 507, 509, 515 sub 27, 531 sub 1, 532 sub 11, 535 sub 4, 536 sub 2, 583, 710, 711, 713, 714, 716, 719, 723, 725, 727, 728, 729, 736, 744, 746, 748, 749, and particles: 497, 501, 513, 532 sub 5, 532 sub 6, 533, 515 sub 25, 515 sub 26, 751; and in part, in relation to the external areas of relief and access to the roads, in the Land Registry of the Municipality of Sant'Alessio Siculo, sheet 8, parcels: 181, 512, 493, 124, 141, 348, 349, 350, 351, 495, 511, 539, 523, 514, 518, 522, 525, 530, 500, 502, 503, 712, 750, 752, 720, 721, 726.

The real estate units registered on sheet 8, parcels 440 sub 15, 16 and 20 are not part of the lot, because they belong to third parties; 496 sub 3, 5, 11 and 12; 515 sub 17 and 18; 532 sub 3 and 4.
 
The movable property and goodwill better described in the attached appraisal form part of the company offered for sale.
The procedure is not liable for any inaccuracies or imprecisions contained in said appraisals. The verification of the regularity of the buildings in terms of town planning and construction must be conducted by the purchaser, who exempts the procedure from any liability.


The successful tenderer is obliged to exercise the options stipulated by the trustee for the purchase of the units surveyed in sheet 8 part 532 sub 3 and 4, under the conditions indicated in the attached documents.

The bankrupt company has brought an action to claim property portions bordering the company Baia Taormina s.r.l. The buyer of the hotel business will take over the pending court action.
 
The lot does not include the total shareholding in the share capital of the company Magna Grecia Hotel S.r.l., with headquarters in Sant'Alessio Siculo (ME), Via Nazionale, 421, tax code and VAT number 03201980830 – REA ME220320.
 
Debts admitted to bankruptcy liabilities and those that may have accrued during the provisional year are excluded.
 
The resort is open to the public between April and October each year.
 
The company is managed by the Official in bankruptcy in provisional exercise (temporary continuation of the exercise of the company art. 104, paragraph 2 of the Bankruptcy Law).
Only three employment relationships are full-time and permanent. The other relationships, being seasonal in nature, are fixed-term. None of these fixed-term contracts have an expiry after 20 October 2023.
 
Compared to what was described in the appraisals, the following improvements were made in 2022:
Construction work:
Painting of the walls and ceilings of the kitchens located on the ground floor and on the first floor of the kitchen-restaurant-reception hall.
Partial painting of walls and ceilings and varnishing of the wooden shutters of block 3000 consisting of 30 units.
Painting of external walls with rose quartz flour after cleaning with a pressure washer by the pool "Life is beautiful".
Painting with yellow and white quartz flour of the external walls from the driveway to the Piazzetta bar and gazebo, after brushing.
Partial painting of walls, ceilings and shutters in n. 52 rooms of the 2000 block.
Restoration of ceilings and plasters and partial painting of the Congress Hall, the SPA, the Bar Piazzetta, the "Il Dattero" room, the "Scirocco" room.
Partial painting of walls, ceilings and painting of shutters in block 1000 (50 rooms and stairs) and in the banquet hall.
Painting of walls under the amphitheater, arrangement n. 30 small pillars, painting of the congress hall and corridor.
Ordinary maintenance of the swimming pool "La dolce vita" with application of sheath and painting of the walls.
Partial painting of walls and painting of shutters in block 4000 in n. 32 rooms.
Painting of external walls, supply and placement of n. 88 mosquito nets and stone steps arrangement.
Renovation of mosaics in the bathrooms of the rooms on the ground floor.
Restoration of technological systems:
Disassembly, overhaul and reassembly of autoclave motors.
Classification of SPA tanks with disassembly, overhaul and reassembly of the pumps.
Classification of cold rooms with cell disassembly and reassembly of the same in a different place. Insertion of fans and compressors.
Overhaul of generating sets with replacement of accumulators in nr. 6 and repair of electronic boards.
Disassembly, overhaul of 6 pumps and replacement of 2 not working in the thermal power plant of the SPA.
Verification of electrical panels inside the power plant with replacement of capacitors, test of release and re-engagement of the cabin and verification of its interlocks.
Verification of electrical service panels with component testing and replacement of damaged switches.
Classification of the generating set with engine oil replacement, air and diesel filters and disposal.
Verification and repair of exchangers - replacement of SPA hydromassage tub pumps with repair of leaks towards the congress hall.
Disassembly of autoclave pumps on bodies 1000 and 3000, repair and reassembly with the remaking of the management automatism complete with electrical and hydraulic wiring.
Replacement of shower heads, aerators and lamps, removal of old silicone and new installation.
Commissioning central class pumps for the cold cycle SPA and Congress Center - Ciller repair and cryogenic cycle balance.
Classification of central fire with troubleshooting. Replace hoses and hydrants. Electrical panel arrangement on board the machine.
Completion of the second autoclave line and room lighting.
Completion of the second line of thermal power plants Corpi 1000, 3000, 4000, 2000 and SPA.
Automatisms for external lighting lines and Ciller controls for the SPA and dining room - swimming pool pump controls.

The lot in question consists of three real estate units with an adjoining internal courtyard, characterized by a shed used for craft activities and offices (parcel 499), and a building with a single elevation above ground partly used as a shop (parcel 500/1) and partly used for craft activities (parcel 500/2).

1) Separate shed on parcel 499
The shed, used as an artisan activity, consists of three buildings with different heights; the main body appears to be, through a partition, divided into two different rooms, one used as a workshop with attached office, the other for auto parts; the lower body located to the north-west is used as an office, while the one located to the south-west has various rooms used for washing, storage, changing rooms and toilets. In the compartment used for auto parts, in the absence of regular authorisation, a mezzanine was built with a metal structure covered with planks and accessible via a metal ladder. This abuse cannot be remedied.

2) Buildings distinct to parcels 500 sub. 1 and 2
The building consists of two real estate units: the first used for commercial activity and registered in the land registry with parcel 500 sub. 1, is characterized by an exhibition hall, an office and a bathroom, has plastered and painted internal walls. The flooring is stoneware. The property is also equipped with a concealed electrical and water system; the second used as an artisan activity and registered in the land registry with the parcel 500 sub. 2, is characterized by a large room, a hallway and three offices.

During the inspection, it was also possible to ascertain the presence of an illegal building in the northern courtyard, consisting of a roof built with a metal structure covered by corrugated sheet plates. This abuse cannot be remedied and therefore the art. 40 paragraph 6 of Law 47/85, as beyond the realization it took place on a later date than the time limits granted by art. 31 of Law 47/85, as amended by art. 39 of Law 724/94, as well as by art. 32 of the Legislative Decree 269/2003, since the realization of the work is to be framed after 31 March 2003.

It should be noted that the delivery of the property in the event of awarding is subject to the sale of the movable assets, in addition to the disposal of expired products.
