SPECIFIC TERMS AND CONDITIONS

By submitting a bid, the bidder declares that they have fully read and accepted these conditions of sale, as well as the conditions set forth in the notice of sale attached to the auction form (if applicable), of which these conditions constitute an extract. The bidder also declares that they have examined and accepted all documentation made available for the purposes of participating in the auction process.

The auction is subject to payment of:

- security deposit of EUR 2.500,00
- advance payment of EUR 1,100.00.

The above amounts must be credited before the auction ends.

In addition to the security deposit and the down payment for expenses, to be authorized to participate in the auction, the User must provide the following documents by sending them to gobid@pec.it:

• Copy of the security deposit transfer.
• Copy of the down payment for expenses.

If the bidder is a NATURAL INDIVIDUAL:

• Copy of a valid identity document.
• Copy of tax code.
• If the bidder is married under a joint ownership regime, the spouse's details must also be provided, along with a copy of their identity document (this document is not binding for licensing purposes but is required in the event of a successful bid).
• If the bidder is a minor/under interdiction/disqualified, the bid must be signed by the guardian with the prior authorization of the guardianship judge, which must be attached;
If the bidder is a LEGAL ENTITY:
• Chamber of Commerce certificate (the document must have been issued within 6 months prior to the bid date).
• Copy of a valid identity document of the person signing the bid on behalf of the company and, if the person does not have the necessary signing authority or if the person is not the legal representative, a copy of the document certifying the relevant powers.
• Copy of the tax code of the person signing the bid.

• A duly certified translation of the Chamber of Commerce certificate, if the company is not Italian.

• A special power of attorney received or certified by a notary, if participating through a representative.

Once the deposit has been credited and the required documentation provided, as indicated above, the user will be authorized to participate in the auction.

If the auction participants do not win any items, the deposit and deposit will be refunded within 20 business days of the auction closing date, without interest.

If, in the event of a successful bid, the bidder fails to complete the purchase, the amounts paid will be retained as a penalty.

Availability of Lots

Any registrations relating to rights of pre-emption, registrations of foreclosures and precautionary seizures, and any other liens on the items offered for sale will be cancelled once the sale has been completed and the price has been collected in full. All cancellation formalities will be carried out at the expense of the successful tenderer.


Payment Methods

All payments have to be made exclusively by bank transfer. Account details will be indicated whether at the time of registration or  in conjunction with the awarding statement (in a private message to the user mailbox). (see General Terms and Conditions)


Payment deadline

The lots awarded to the user must be paid within 90 days from  the confirmation of provisional awarding.
The Buyer's Premium and any additional management fees, if applicable, must be paid within 10 days from  the confirmation of provisional awarding.

In any case, it is understood that the completion of the award is subject to the current tenant's failure to exercise its right of pre-emption, which may be exercised by the latter within 60 days of the Commissioner's communication at the end of the auction.


Property transfer

Property transfer will take place with a deed issued by the Notary Public, identified by the procedure, only after full payment of the hammer price, expenses and Buyer's Premium.


For all that is not foreseen here, the current laws apply.

In case of lack property transfer finalization, the sale will be canceled and the amount paid by the user who awarded the lot as Buyer's Premium will not be refunded, as a penalty.


The disposal of any residual waste, present in the company at the time of taking possession, will be the sole responsibility of the successful bidder / buyer.

It should be noted that, with the award of the company branch, the buyer undertakes to take over all the contractual relationships pending at the final award date, as these are an integral part of the goodwill of the company in liquidation and of the value company of the same.



Additional specific terms

Please note:
- The business unit covered by this lot is currently leased to third parties under a business lease agreement signed on September 4, 2018, with a term of one year, automatically renewed annually, unless notice is given within six months of each expiration date.
- If the bid is awarded, the Commissioner will notify the current tenant of the termination of the business lease agreement.
- The tenant will have a right of first refusal in the event of a transfer of the leased business, under the same conditions as those prevailing at the end of the auction. In this case, at the end of the auction, the Commissioner will provide full notice to the tenant to allow the latter to exercise the right of first refusal, which must be exercised within 60 days of the notification.
The business is operated in premises owned by third parties and held under a lease agreement, registered in Pesaro, which the aforementioned lessee has taken over. If awarded, the successful tenderer will therefore be responsible for arranging the necessary lease agreement.

Buyer's Premium: A charge of 12,00% + VAT will be added to the price of each awarded lot.

The Buyer's Premium will have a minimum amount of 25 € (+ VAT at 22% where applicable) of each of the lots awarded or combinations as minimum commissions.



VAT: Value Added Tax at a rate of 22,00% will be calculated on the awarding price and added to it. (where applicable)
Procedure is not registered to VIES. VAT is due also for intra-EU buyers.

Extra-Time
In case a winning offer will be submitted within 5 minutes before the auction deadline, the  time  to place another bid will  be extended for 5 more minutes from the last bid received. Every other winning bid submitted within 5 extra-time minutes, will extend the time for placing another bid for  5 more minutes from the last bid received and so forth.Automatic overbids in case of maximum bid (proxy bid) are condisdered winnig bids as well.
 

Lots are sold as is. Viewing is reccomended.


The sale of the goods is forced (art. 2919 c.c.) it is arranged for goods as is , in the rule of law and fact. In the forced sale it is not valid the warranty for vices. It cannot be contested for damages (Art. 2922 c.c.).
 

The sale occurs with obligation for the user who award the lot to check of the compliance with safety norms
 

Consequently the existence of any defects or lack of quality of the lots sold or differences, they cannot give rise to compensation, bonus or price reduction.


It is excluded any responisibility of the Agent about the existence of rights of third parties on the goods subject of sale (Art . 2920 Civil Code) 


In case of insurgency of  any controversy related to the interpretation of the dispositions included in the general and specific terms present in the website  translated in different languages, it will be applied the Italian language version of such texts
