Lots Availability
Any registration related to preemption rights, registration of foreclosures and seizes, or any other tie falling on the lots on sale will be cancelled once the sale will be completed and the price will be fully collected. Any formalities for cancellation will be on Procedure.
The right of “agrarian pre-emption” on the purchase by any entitled parties is reserved, as provided for by the current legislation on the formation of the cultivating property (Law 590 of 1965 art. 8, Law 817 of 1971 art. 7; Legislative Decree 228 of 2001 and Legislative Decree 99 of 2004).
The agrarian pre-emption may be exercised on the entire company complex, by the entitled parties, on the basis of the price offered by the competitor who is found to have made the best offer in increase, found to be valid, compared to the price set as the starting price of the auction.
After the provisional award of the auction, the controlled liquidation procedure will be responsible for communicating the results of the auction to the entitled parties, with the invitation to exercise the pre-emption, communication from which the terms for exercising the pre-emption will start to run.
Therefore, the provisional award will be in favor of the person who has made the highest offer at the auction, which is considered valid, in increase with respect to the price set as the auction base, while the definitive award will remain subject to the fact that the entitled parties do not exercise the pre-emption right to purchase reserved to them, according to the methods and times established by the legislation in force.
It may therefore happen that the sale of the entire business complex is in favor of a person who holds (according to the legislation in force) the right of pre-emption in agriculture, and not in favor of the competitor who has made the best offer in increase with respect to the price set as the auction base.
Within 30 days of receiving the communication, the entitled parties will be required to declare whether or not they intend to accept the sale proposal and therefore exercise the right of pre-emption to purchase; if this deadline expires without action, the right of pre-emption will be considered waived. For the purpose of complying with the 30-day deadline, the date of receipt of the communication by the procedure will be considered valid, the date of dispatch being irrelevant. After the aforementioned deadline, the Liquidator will send due communication in order to inform about the possible exercise or otherwise of the aforementioned right of pre-emption; if not exercised, the (provisional) award in favor of the best bidder will be considered final. Improved offers are not permitted.
Payment deadline
Awarded lots have to be paid in full within 90 days from the provisional awarding.
Buyer's premium due (plus VAT) has to be paid within 10 days from awarding.
Fees and expenses related to sale on buyer's expense (law fees, notarial fees, fiscal and non fiscal fees) have to be paid in full within 90 days from the provisional awarding.
Buyer's Premium:
A percentage of 2,50% + VAT will be added to the price of each awarded lot.
VAT:
VAT application may vary according to law depending on the awarding subject and will be calculated on the awarding price and added to it. (where applicable)
In case of insurgency of any controversy related to the interpretation of the dispositions included in the general and specific terms present in the website translated in different languages, it will be applied the Italian language version of such texts
