SPECIFIC TERMS AND CONDITIONS

Deposit
No deposit is required to submit an irrevocable acquisition offer.
If the offer is accepted by the property owner, the bidder who submitted the highest offer will have a maximum of 15 days to sign a preliminary deposit contract (arras penitenciales), paying 3% of the offered price as a guarantee to the Property. The offer will only be considered valid after signing the preliminary contract and paying the required amount. If, after signing the preliminary contract and being awarded the lot, the bidder fails to complete the acquisition by paying the sale price and the Buyer's Premium within the stipulated period, the amount paid as a guarantee will be forfeited.
Encumbrances
The sale of the property will be free from encumbrances, liens, attachments, mortgages, taxes, and duties. The seller will bear the cost of any potential capital gains tax (Plusvalía). The buyer will be responsible for property taxes (IBI), any homeowner association fees, and other taxes related to the purchase (calculated proportionally), as well as the expenses of the sale (Notary, Registry, ITP, AJD, etc.). The property is subject to an easement, as detailed in the provided documentation.
Participation and Award Procedure
The submission of irrevocable offers will follow these steps:
All bidders must register on the website www.gobid.es. To submit an irrevocable acquisition offer, the user must register on the website, provide their personal information, request access to the sale, and accept the terms and conditions. Offers must be submitted using the official form (available online) and sent, signed, to info@gobid.es to confirm acceptance of these conditions.
Required Documentation:
For Individuals:
Valid ID (DNI) of the person to whom the property will be transferred.
If the bidder is married under a joint property regime, the spouse's ID must also be provided (this is not mandatory for auction registration but required upon award).
For Companies or Entities:
A copy of the articles of incorporation indicating the company's establishment and the bidder's powers.
A valid ID (DNI) of the administrator or legal representative.
A sworn translation of the articles if the company is not Spanish.
A notarized power of attorney if participating through a representative.
Submitted irrevocable offers will constitute a formal commitment to acquisition by the bidder. Offers received at the specified email address will be forwarded to the Property, which may, at its sole discretion, within a maximum of 20 days:
a. Reject the submitted offer.
b. Accept the offer.
c. Present a third-party higher bid and organize a supplemental auction (subastilla).
If a third-party higher bid is submitted within the given timeframe (c), a supplemental auction will be held between the highest original bidder and the third party to determine the final buyer. This supplemental auction will be limited exclusively to these two bidders and will follow the rules of the auction entity. The minimum sale price will be the highest offer received during the initial offer period. The supplemental auction will last a maximum of 3 business days.
At the end of the supplemental auction, the property will be awarded to the highest bidder.
If the Property accepts the offer during the initial collection phase (b), a 15-day period will begin for the bidder to sign the preliminary deposit contract and pay the required guarantee amount.
Payment Terms
The Buyer's Premium must be paid entirely by bank transfer to the accounts communicated at the time of registration or upon award notification (see general terms).
The sale price and Buyer's Premium must be paid by bank transfer or bank check at the time of formalization before a notary. The amount already paid as part of the preliminary contract will be deducted from the sale price. Any costs related to the transfer of ownership, notarial deeds, or the removal of public registry encumbrances must be paid at the time of formalization before a notary.
Payment Deadlines
Both the sale price and the auction house fees (Buyer's Premium) must be paid upon formalization of the sale.
Ownership Transfer
Ownership of the property will be transferred simultaneously with the required payments, through a notarial deed. Formalization must occur within a maximum of 30 days from the award confirmation, extendable only by the Property. If the highest bidder does not appear for the signing of the necessary documents to complete the transfer, the Property may consider the offer withdrawn, and the bidder will forfeit the guarantee paid as part of the preliminary contract.
Other Specific Conditions
Buyer's Premium: The successful bidder must pay the auction house fees, which are 5.00% of the final award price, plus VAT at 21% (if applicable). This commission is to be paid by the buyer.
Taxes on the Award: VAT and/or any applicable taxes will be charged according to the regulations and the buyer's tax status.
The sale of the property will be conducted "as is," in its current physical and legal condition.
Occupational Status of the Property:
The property may be rented under a current contract valid until October 31, which can be terminated (if necessary for the sale to proceed) with 30 days' notice. If the property is not sold by October 31, the lease may be renewed or renegotiated, provided that the property remains vacated with 30 days' notice.
The buyers may not make claims regarding the physical and/or legal condition of the property. Offers imply the buyer's acceptance of the property's condition and the waiver of claims, including for latent defects under Article 1474 of the Civil Code. The property is sold "as is," and no price adjustments or cancellations will be allowed.
Exclusions:
GOBID ESPAÑA SL assumes no responsibility for the existence of third-party rights over the sold assets. Buyers are responsible for verifying the conformity of the property with the provided details.
