BANCO DE SABADELL, S.A.IBAN: ES24 0081 0682 4100 0189 4093
SWIFT/BIC: BSABESBBXXX
ACCOUNT HOLDER: GOBID ESPAÑA S.L.
Reference: auction number and lot number.
The deposit must be paid before the end of the auction. Only once the deposit has been received will the user be authorized to participate in the auction. To speed up participation, it is recommended to send the proof of payment to
[email protected].
Creditors with a special privilege over the asset for sale are exempt from paying the deposit to bid on the lot over which they hold such credit. To participate, they must send an email stating their status and provide the required documentation, except for the proof of deposit.
Users who have participated in the auction without being awarded the lot will receive a refund of the deposit, without interest, within 20 business days following the conclusion of the auction.
If the participant is awarded the lot, the deposit may be deducted from the total amount to be paid or will be reimbursed once the sale has been formalized by notarial deed, subject to authorization by the Insolvency Administration, within a maximum of 5 business days from formalization.
If, after making the deposit and being awarded the lot, the bidder does not complete the acquisition by paying the sale price and the Buyer's Premium, the sale will be deemed terminated and the deposit will be retained as compensation. In such case, the award will be attributed to the next highest bidder who has made a bid equal to or higher than the reserve price.
Charges and encumbrancesThe disposal will be made free of charges and encumbrances, except for rights limiting ownership, legal easements and applicable town-planning charges.
Taxes, levies and duties relating to the award, sale or transfer of the asset will be borne by the successful bidder, who will also assume notarial, registry and any other costs related to the disposal, including municipal capital gains tax if applicable. In no case will the insolvent company bear any expense arising from the disposal. Any outstanding amounts for Property Tax, urbanization contributions and other fees and expenses accrued and unpaid by the insolvent company that encumber the asset will also be borne by the buyer.
The Insolvency Administration will request the Court to cancel the registry charges and entries, both from attachments and arising from the insolvency proceedings, once the effective transfer of the asset has been proven. The costs arising from such cancellation will be borne by the purchaser.
Award of the lotsAt the end of the auction, if the winning bid is equal to or higher than the reserve price, the award confirmation will be sent to the highest bidder with instructions to make payments within the established deadlines.
If the bid does not reach the reserve price, the award must be approved by the Insolvency Administration.
Warning: the Insolvency Administration reserves the right to communicate the winning bid to the Court for approval. In that case, only once approved by the Court will the award confirmation be sent to the highest bidder.
Participation methodTo participate in the auction, the user must register at www.gobid.es with their personal data, request registration for the auction and accept its terms and conditions.
The data provided during registration will be the data used for the award and the transfer of ownership of the lot. All payments, before and after the sale, must be made by the registered user. Any representation arrangements will only be accepted with the prior authorization of the Principal.
The user must deposit the deposit into the indicated account and send the transfer receipt to

- Sworn translation of the deed of incorporation, if the company is not Spanish.

Payment methodThe Buyer's Premium must be paid in full by bank transfer to the account communicated together with the award confirmation (see general conditions).
The provisional awardee must deposit, into the insolvent debtor's account indicated with the award confirmation, the total auction price plus applicable taxes, within the established deadline.
The costs of transfer of ownership, notarial deed and cancellation of encumbrances in any public registry must be deposited before the date set for formalization. Once all amounts have been paid, transfer will be made by notarial deed, under the conditions established by the Principal.
Payment deadlineBuyer's Premium: 10 days from communication of the award.
Award price: 20 days from communication of the award.
With prior authorization from the Insolvency Administration, the auction price may be paid at the time of formalizing the sale before a notary.
Transfer of ownershipFormalization will be carried out by public notarial deed, under the conditions established by the Insolvency Administration, once the award price, the Buyer's Premium and other costs arising from the purchase have been paid, all at the expense of the awardee.
Formalization must be carried out within a maximum of 20 days from sending the award confirmation. This deadline may only be extended by the Insolvency Administration.
The Principal will request the Clerk of the Court to lift the attachments, encumbrances and annotations arising from the insolvency proceedings that burden the asset, by issuing the corresponding court orders. The costs of such lifting will be borne by the awardee.
If the awardee does not attend the execution of the documents required for transfer, the Agent, in agreement with the Principal, may deem the offer withdrawn without the need for a judicial declaration or summons and declare the next highest bidder the awardee. In such case, the amount paid as Buyer's Premium will be forfeited and retained as compensation, and the deposit will be retained as indicated in the "Deposit" section.
Administration costs are established, entirely at the expense of the awardee, intended to cover the coordination service for formalizing the sale to be organized by the Agent. Their fixed amount, which may not exceed €300, is indicated in the lot sheet under "Administration costs".
Other specific conditionsBuyer's Premium: the definitive awardee will pay the auction house fees, set at 5,00% of the final award price, plus 21% VAT if applicable, with a minimum amount of €500 (plus 21% VAT, if applicable) per lot. The Buyer's Premium will be borne by the awardee, whether or not it is the creditor with special privilege.
Assets subject to privileged claims: creditors with special privilege will not be required to post the deposit. The holder of the special privileged claim may assign the award it obtains and, in the event of award, will be obliged to pay the fees of the specialized entity. It must attend the signing for cancellation of registry encumbrances and receipt of the price up to the limit of its privileged claim. If, after the award, it fails to comply with the auction conditions, the amount of the deposit it would have had to post will be deducted from the amount it is entitled to receive.
Award taxes: VAT or the applicable tax will be applied according to regulations and the status of the awardee. The transfer of rural land may be exempt from VAT (Article 20.One.20 of Law 37/1992) and subject to Transfer Tax, without prejudice to waiver of the exemption where legally applicable. The Agent will ask the awardee whether it wishes to apply reductions or tax benefits and will inform the Insolvency Administration for calculation of the corresponding taxes.
Extra-time: if a bid is placed in the last 5 minutes, the deadline will be extended by 5 more minutes and the countdown will restart, and so on until no offer is received during an extra-time period. In the case of a maximum bid (proxy bid), automatic increments will be considered valid for the extension.
Condition of the asset: the sale is made in the physical and legal condition in which the asset is found, and whoever submits a bid accepts the current registry and urban planning conditions. It is recommended to visit the lot. The transfer is made as a specific asset. Neither the Principal nor GOBID ESPAÑA S.L. is liable for the physical, legal or urban planning condition of the asset. Awardees expressly waive any claim regarding the condition of the asset. For these purposes, interested parties who so request will be allowed to inspect it on the days set.
There is no post-sale guarantee for lack of conformity of the asset, and the existence of any damage or defects will not give rise to judicial or extrajudicial action for compensation or redress. Any liability of the Agent for the existence of third-party rights over the asset subject to the sale is excluded. The buyer assumes its own costs and the responsibility for verifying the conformity of the asset.
Any liability of GOBID ESPAÑA S.L. arising from errors or inaccuracies in the translation of the texts and material published on the website is excluded.
