Liens
The sale will be completed free of liens and encumbrances, except for restrictions on title, statutory encumbrances and applicable planning obligations.
In addition, taxes, duties and levies relating to the award, sale or transfer of each asset will be payable by the successful bidders or buyers, who will also bear notary fees, registration fees and any other costs related to the sale. If the asset is awarded to a secured creditor, the taxes will be assumed in accordance with tax regulations. Under no circumstances will the insolvent company bear any costs related to the sale. The buyer will also be responsible for any outstanding amounts that may be due for Property Tax, urbanisation charges and community fees, as well as any taxes and other expenses accrued and unpaid by the insolvent company that encumber the assets.
The Court will issue orders to cancel liens only once the Insolvency Administration has provided proof of the effective transfer of the assets.
The Insolvency Administration will ask the Court to cancel liens and registry entries relating both to attachments and to the insolvency proceedings; the resulting costs will be borne by the purchaser.
Participation and award procedure
The offer collection process will be managed according to the following procedures:
To submit an irrevocable purchase offer, the user must complete the irrevocable offer form (published online) and email it, signed to confirm acceptance of these terms, to: [email protected] together with proof of payment of the security deposit and the following documentation:
- IF AN INDIVIDUAL:
- Copy of a valid national ID document for the person to whom ownership of the lot will be transferred.
- If the bidder is married under a community property regime, the spouse's details must also be provided by sending a copy of their national ID document (this document is not required to be authorised to participate in the auction, but will be required in the event of an award).
- IF A COMPANY OR ENTITY:
- Copy of the company's deed of incorporation, showing the company's incorporation and the powers granted to the bidder.
- Copy of a valid national ID document of the director or legal representative
- Sworn translation of the deed of incorporation if the company is not Spanish.
- Power of attorney authorised by a notary, if participating through a representative
Submitting the offer form together with payment of the required security deposit constitutes acceptance of the terms of use of the platform www.gobid.es, the general and specific terms and conditions of the sale, and all documentation attached to the sale page.
The irrevocable offers submitted will constitute a formal commitment to purchase on the part of the bidder.
The details entered in the offer form will be used to assign the award of the sale and lots, as well as ownership thereof.
Offers received at the email address specified will be reviewed by the Principal, who may, at its sole discretion:
a. Accept the best offer
b. Call an auction, restricted to those who have submitted an offer
c. Reject the offers submitted
The Principal reserves the right, at its sole discretion, to accept or reject the irrevocable purchase offers submitted by bidders. Offers deemed insufficient or unviable will not be accepted by the Principal.
Payment method
The Buyer’s Premium must be paid in full by bank transfer using the account details provided at registration or together with the award notice (see the general auction terms and conditions).
The provisional successful bidder must pay the total hammer price plus VAT (if applicable) into the insolvent company's account, which will be specified when the award confirmation is sent, within the established deadline (see the general terms and conditions).
Any costs associated with the transfer of ownership, notarial deed and any cancellation of liens or encumbrances registered in any public registry must be paid before the date set for completion of the sale. Once all amounts have been paid, ownership will be transferred by notarial deed, in accordance with the procedure established by the Principal.
Payment deadline
The award price for the lots must be paid within 10 days of the award notice.
The Buyer’s Premium must be paid within 5 days of the award notice.
Subject to prior authorisation by the Insolvency Administration, the hammer price may be paid at the time the sale is completed before a notary.
Transfer of ownership
The sale of the real estate will be completed by notarial deed in accordance with the conditions established by the Insolvency Administration, only once the award price, fees (Buyer’s Premium) and any other expenses arising from the purchase have been paid, with all costs borne by the successful bidder.
Completion must take place within a maximum of 20 days from the sending of the award confirmation; this period may only be extended by the Insolvency Administration.
The Principal will ultimately be responsible for requesting the Court Clerk to lift the attachments, liens and entries arising from the insolvency proceedings affecting the assets transferred, by issuing the corresponding court orders. The costs of any such cancellations shall be borne by the successful bidders.
If the highest bidder designated as the successful bidder fails to attend the execution of the documents required for the transfer, without the need for an express court declaration or notice, the Agent, in agreement with the Principal, may deem the bidder to have withdrawn their purchase offer. The amount deposited as the Buyer's Premium will be forfeited and retained as compensation.
Administrative fees, borne entirely by the successful bidder, are established to cover the sale formalization service, which will be arranged by the Agent. Administrative fees will amount to €300 + VAT for each lot awarded.
Other specific terms
Buyer’s Premium: The bidder ultimately designated as the successful bidder must pay the auction house fees, set at 5.00% of the final sale price of each lot, plus 21% VAT (if applicable).
The Buyer’s Premium will be subject to a minimum amount of 500 euros (plus 21.00% VAT, if applicable) per lot (minimum commission).
The commission (Buyer’s Premium) shall be paid by the purchaser or successful bidder, whether or not they are the creditor with a special preferential claim.
Assets subject to secured claims
Creditors with a special preferential claim will not be required to pay the deposit.
The holder of the credit with a special preferential claim may assign the award they obtain.
The creditor with a special preferential claim shall have the right to match the highest bid.
If the secured creditor informs the Insolvency Administration that they are matching the bid and subsequently withdraws, the amount corresponding to the security deposit that they would have been required to pay to make the offer had they not been a secured creditor shall be deducted from the amount payable to them in settlement of the secured claim. This amount shall remain in the insolvency estate.
Taxes on the Award: VAT and/or any other tax applicable under the relevant regulations and depending on the successful bidder shall apply.
Transfer of possession: The property contains machinery and other movable assets owned by the insolvent company; therefore, the Insolvency Administration will not transfer possession of the property until the sale and removal of those assets have been completed.
Extra Time: If a user places a bid during the last 5 minutes, the deadline will be extended by a further 5 minutes and the countdown will restart; this will continue until no bids are placed during the last 5 minutes of the extra time period. In the case of a maximum offer (proxy bid), automatic increments will be considered valid for extending the extra time period.
The assets will be sold in the condition in which they are found, both in terms of their physical configuration and their legal status. In addition, anyone submitting a bid does so in acceptance of the current registry and planning conditions. It is recommended that prospective buyers inspect the lots for sale.
All costs arising from the sale shall be borne by the successful bidder, including removal and transport costs, any costs associated with the transfer of ownership, notarial deed costs and any costs of cancelling liens or encumbrances recorded against the assets in any public register.
Successful bidders or purchasers of any lot or asset expressly waive any claim regarding the condition of the asset. For this purpose, interested parties who expressly request it will be permitted to inspect the condition of the assets included in the Lots on days scheduled in advance for that purpose. Neither the Principal nor GOBID ESPAÑA SL shall be responsible at any time for the proper functioning, condition, vehicle inspections, etc. of the lots comprising the assets. Accordingly, they will be transferred as specific, identified items.
The sale does not include any post-sale warranty for non-conformity of the goods, and no purchaser or interested party may make a claim on that basis.
Consequently, any damage or lack of quality in the goods sold shall not give rise to any extrajudicial or judicial claim for compensation or damages.
The Agent accepts no liability for the existence of third-party rights over the assets being sold.
The sale is made on the condition that the purchaser assumes their own costs and responsibility for verifying that the goods offered for sale are in fact compliant.
GOBID ESPAÑA SL accepts no liability arising from errors or inaccuracies in the translation of texts and materials published on the website.
