The lot includes (as stated in the notice):

(I) la cessione della piena ed esclusiva proprietà dei beni immobili di proprietà di SONORA come risultanti dai pubblici registri (gli "Immobili SONORA");

(II) la cessione della partecipazione totalitaria detenuta da CIA in Terminal Intermodale Adriatico S.r.l. ("TIA"), pari quindi al 100% del capitale sociale della stessa TIA (la "Partecipazione CIA");

(III) la concessione da parte di INTERPORTO di un'opzione avente ad oggetto il diritto di acquistare, ed il corrispettivo obbligo di INTERPORTO di vendere ad un prezzo prestabilito (il "Diritto Put & Call" o "Diritto di Opzione"), le quote sociali TIA che INTERPORTO verrà a detenere per effetto dell'esecuzione di un aumento di capitale sociale di TIA, da deliberarsi, riservato ad INTERPORTO e da liberarsi mediante conferimento in natura di un ramo d'azienda operativo (il “Ramo d’Azienda”) in conformità alle previsioni di cui ai piani concordatari di INTERPORTO e di CIA (i "Piani Concordatari") omologati dal Tribunale di Venezia, con provvedimenti resi, rispettivamente, in data 19 e 20 novembre 2015 (i "Decreti di Omologa"); oppure, in alternativa al Diritto di Opzione, la cessione del Ramo d’Azienda (e ogni diritto annesso) di titolarità di INTERPORTO, che quest’ultimo dovrà conferire in TIA a liberazione dell’aumento di capitale riservato ad esso INTERPORTO;

(IV) la cessione dell’infrastruttura portuale di proprietà di INTERPORTO rappresentata dagli immobili meglio identificati nel Piano Concordatario di INTERPORTO ("Piattaforma Logistica");

In data del 30 settembre 2017, giungeva una offerta vincolante irrevocabile, che successivamente veniva integrata. Tale offerta vincolante prevede, tra l'altro:

(i) la liberazione delle Società da tutti i debiti su queste gravanti, del valore nominale inserito nei Piani Concordatari di INTERPORTO per Euro 24.056.651,00 (ventiquattromilioni cinquantaseimilaseicentocinquantauno/00) (salvo errori o precisazioni) e a Piano concordatario di SONORA per Euro 23.520.535,00 (ventitremilionicinquecentoventimila cinquecentotrentacinque/00) (salvo errori o precisazioni), dunque per un totale di Euro 47.577.586,00. (quarantasettemilionicinquecentosettantasettemilacinquecentoottantasei/00), mediante l’estinzione di tutti i crediti garantiti ipotecariamente sui beni delle società INTERPORTO e SONORA e vantati, in specie, da Banca Nazionale del Lavoro S.p.A., Banca Mediocredito del Friuli Venezia Giulia S.p.a., Banca Santo Stefano Credito Cooperativo Martellago-Venezia, MPS Capital Services Banca per le Imprese S.p.A., Società del Patrimonio per la Mobilità Veneziana S.p.A., Credit Agricole Friuladria S.p.A. e ONIF Finance S.r.l.;

(ii) la corresponsione della somma di Euro 20.500.000,00 (ventimilionicinquecentomila/00) quale corrispettivo complessivo:
a) per l'acquisto della proprietà dei beni immobili e/o diritti attivi agli stessi pertinenti facenti capo alle società INTERPORTO e SONORA;
b) da corrispondere ad INTERPORTO, a seguito dell’attribuzione della concessione da parte di INTERPORTO di un'opzione avente ad oggetto il diritto di acquistare, ed il corrispettivo obbligo di INTERPORTO di vendere le quote sociali TIA che INTERPORTO verrà a detenere per effetto dell'esecuzione di un aumento di capitale sociale di TIA, da deliberarsi, riservato ad INTERPORTO e da liberarsi mediante conferimento in natura di un ramo d'azienda operativo in conformità alle previsioni di cui ai piani concordatari di INTERPORTO e di CIA omologati dal Tribunale di Venezia, con provvedimenti resi, rispettivamente, in data 19 e 20 novembre 2015. Tale somma deve essere corrisposta ad INTERPORTO in sede di esercizio del diritto di opzione, quale corrispettivo per l’acquisto della partecipazione;
c) per l'acquisto della titolarità della partecipazione totalitaria detenuta da CIA in TIA;
(iii) lo stanziamento di alcuni fondi pari a:
a) Euro 2.800.00,00 (duemilioniottocentomila/00), per l’esecuzione di tutte le opere di bonifica e messa in sicurezza dei compendi immobiliari di proprietà di INTERPORTO e di SONORA, così come risultanti dai pubblici registri; nonché
b) Euro 650.000,00 (seicentocinquantamila/00) per la costituzione di un fondo a carico di TIA, anche con riferimento ai riscontrati importi dovuti all’Autorità Portuale di Venezia in funzione dell’esercizio dell’attività aziendale;

Il prezzo assunto a base d'asta è fissato in Euro 68.077.186,00 (sessantottomilioni settantasettemilacentoottantasei/00) ("Prezzo a Base d'Asta") comprendente tutti i profili dell’Operazione

Nel dettaglio, il prezzo a Base d’Asta, fermo rimanendo l’inscindibilità dell’oggetto della Procedura, deve così ritenersi articolato:

1. Euro 20.500.000,00 (ventimilionicinquecentomila/00) di cui:

a) Euro 6.000.000,00 (seimilioni/00) per la Piattaforma Logistica (e quindi per la proprietà dei beni immobili e/o diritti attivi agli stessi pertinenti facenti capo a INTERPORTO);
b) Euro 2.850.00,00 (duemilioniottocentocinquantamila/00) per gli Immobili SONORA (e quindi per la proprietà dei beni immobili e/o diritti attivi agli stessi pertinenti facenti capo alla società);
c) Euro 7.000.000,00 (settemilioni/00) quale corrispettivo per l'esercizio del Diritto di Opzione (e quindi per l'acquisto della partecipazione TIA che verrà ad esistenza a seguito dell'aumento di capitale di TIA riservato ad INTERPORTO), da corrispondere ad INTERPORTO come meglio descritto al punto A) (iii) delle premesse;
d) Euro 4.650.000,00 (quattromilioniseicentocinquantamila/00) per la Partecipazione CIA, e quindi per l'acquisto della partecipazione totalitaria attualmente detenuta da CIA in TIA;

2. la liberazione delle Società da tutti i debiti garantiti ipotecariamente dai beni delle società INTERPORTO e SONORA ed i cui rispettivi crediti sono vantati, in specie, da Banca Nazionale del Lavoro S.p.A., Banca Mediocredito del Friuli Venezia Giulia S.p.a., Banca Santo Stefano Credito Cooperativo Martellago-Venezia, MPS Capital Services Banca per le Imprese S.p.A., Società del Patrimonio per la Mobilità Veneziana S.p.A., Credit Agricole Friuladria S.p.A. e ONIF Finance S.r.l., ovvero il pagamento di una cifra di Euro 47.577.586, pari all’intero ammontare dei suddetti debiti.
