SALE NOTICE - Company Columbia Spa

Creditors Agreement n. 22/2016 - Venezia Law Court

For sale two company branches that composed Columbia Spa, specialized in shirts production and sales, as following:

"Dr. Lorenza Danzo, Judicial Commissioner of creditors agreement procedure no. 22/16 of Columbia Spa

HAS DISPOSED

opening of competitive procedure under art.163-bis Bankruptcy Law, aimed at seeking the purchase of Columbia Spa Company consisting of two branches (Commercial Branch and Industrial Branch, jointly Company), namely:

A. Commercial Branch, which is composed and exhausted in the following elements:

A) sales outlets included in Annex 1/A of the lease of business on 09/09/2016, with the variations being subject to and subject to judicial authorization (Direct Selling Points - Indirect Sales Points);

B) administrative authorizations, meaning any such authorizations, licenses, permits and concessions issued in connection with the exercise of the Commercial Branch;

C) goodwill relating to the Commercial Branch if and as there is;

D) relevant documentation of the Commercial Branch, including, but not limited to, contracts, trade correspondence, price lists, technical documentation relating to the products, both in hard copy and in digital format, excluding company documentation;

E) Assets, ie fixed assets, mobile and registered furniture, plant and machinery and other tangible assets as per Annex 1/B of the Commercial Property;

F) intellectual property rights, namely trademarks, patents and models, copyright, domain names, know-how, design, industrial secrets, internet sites and any other intellectual property rights owned by Columbia Spa and used in the Commercial Branch ; In particular the possibility of using the 'And' mark, for a fee equivalent to royalty, as proposed for the proceedings, and hence by the signing of a five-year renewable five-year term license agreement with equal royalties To 5% of net annual turnover and a minimum of € 45,000.00, always on an annual basis;

G) employment contracts with subordinate employees and intermittent employment contracts as referred to in Annex 1 / C of the lease of contract and / or those currently in existence; It should be noted that the subordinate employees currently in force in the Commercial Branch are equal to no. 37 units;

H) commercial and functional contracts with the same, together with the related receivables for security deposits;

I) orders for products intended for resale through the Commercial Branch, limited to those received on the date of completion of the Commercial Property.

B. Industrial branch, which is composed and exhausted in the following elements:

A) the commercial relationship with all Affiliate Sales Points, as listed in Subpart A), to confirm the irrevocable purchase offer of 24.07.2017, consisting in particular of the individual supply contracts, the use of the 'And' mark and the orders Goods not yet evaded, as it will be composed at the time of the final sale;

B) equipment, plant, machinery, office machinery, furniture and furniture at the head office of Mirano, in addition to the vehicles referred to in Annex B), of the proposal of DNA Srl of 10/07/2017;

C) Various equipment at the inventory of Salzano (VE) censored in NCEU Sheet 9, mapp. 298;

D) design and style department;

E) commercial department;

F) prototype department;

G) warehouse and logistics department;

H) purchasing department;

I) administration department, data processing center and finance;

J) subordinated employment contracts with no. 34 employees and following the stipulation and/or repetition of individual/trade union agreements (Trade Union Agreements), already authorized by the Chief Judge by decision of 23/06/2017;

K) subordinated employment contracts with no. Maximum of 30 employees and prior to the stipulation and / or repetition of individual / trade union agreements (Trade Unions), already authorized by the GD with a decision of 23.06.2017;

L) the commercial agency contracts listed in Annex C, referred to in the DNA Srl proposal of 10/07/2017;

M) contracts for the administration of premises to be granted in precarious use, those for periodic maintenance, vigilance and rental listed in Annex D) to the DNA Srl proposal of 10/07/2017;

HAS FIXED

- base price of € 480,000.00, with minimum increase in the event of a subsequent tender between several bidders of € 10,000.00;

- completion of competitive procedure on 10.10.2017 at 9.30 am

Tenders must be submitted to the Bankruptcy Chancellor's Office of Venice Law Court by 12:00 of day before deadline for tender
